These Terms and Conditions (“Terms”) govern access to and use of the websites, applications, artificial-intelligence tools, subscriptions, credits, content, and related services provided through Illumen ScholarMind collectively referred to as the “Services.”
In these Terms, “Illumen ScholarMind,” “we,” “us,” and “our” refer to the provider of the Services. “User,” “you,” and “your” refer to the individual or organization accessing the Services.
By creating an account, purchasing a plan or credits, clicking an acceptance checkbox, or accessing the Services, you agree to these Terms and our Privacy Policy.
Do not use the Services if you do not agree to these Terms.
1. About Illumen ScholarMind
Illumen ScholarMind is an AI-powered knowledge workspace intended to help students, researchers, scientists, educators, writers, professionals, and career builders with activities such as:
- Studying and learning;
- Explaining academic topics;
- Summarizing documents;
- Analyzing journal articles;
- Organizing knowledge;
- Supporting literature reviews;
- Developing research ideas and methodologies;
- Improving academic writing;
- Creating essays, reports, and educational materials;
- Reviewing resumes and job descriptions;
- Preparing cover letters and career documents;
- Creating teaching and presentation materials;
- Processing files and creating AI-assisted outputs.
Features may be added, modified, limited, suspended, or discontinued as the Services evolve.
2. Eligibility
You may use the Services only if:
- You can legally enter into a binding agreement;
- You comply with these Terms;
- Your use is not prohibited by applicable law;
- You provide accurate registration information.
If you are below the age at which you can independently enter into a binding agreement, you may use the Services only with permission and supervision from a parent, legal guardian, educational institution, or another legally authorized responsible party.
An organization permitting a minor to use the Services is responsible for obtaining any required permission and providing appropriate supervision.
3. Accounts
Some features require an account.
You agree to:
- Provide accurate and current information;
- Keep your login credentials confidential;
- Use a strong password;
- Promptly update changed information;
- Notify us of suspected unauthorized access;
- Accept responsibility for activity occurring through your account, except where applicable law provides otherwise.
You may not:
- Share an account in a way prohibited by your subscription;
- Sell, rent, transfer, or sublicense your account;
- Use false information;
- Impersonate another person or organization;
- Create accounts to evade suspension or usage limits;
- Access another user’s account without authorization.
We may request verification when necessary to protect users, prevent fraud, or meet legal obligations.
4. Institutional and Team Accounts
Organizations may purchase or administer accounts for their students, employees, researchers, or members.
For an organization-managed workspace:
- The organization may control membership and permissions;
- Administrators may access workspace-related content or usage information;
- Separate organizational terms may apply;
- The organization is responsible for its users and instructions;
- Users may lose access when their relationship with the organization ends.
The organization is responsible for obtaining required permissions before submitting personal, educational, employment, or confidential information.
5. Licence to Use the Services
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal, educational, research, professional, or authorized internal organizational purposes.
This licence does not permit you to:
- Resell or commercially redistribute the Services without written permission;
- Copy or reproduce substantial parts of our software;
- Create a competing service using unauthorized access to our systems;
- Reverse engineer the Services except where applicable law expressly permits it;
- Remove copyright, trademark, or proprietary notices;
- Bypass authentication, payment, security, or usage restrictions;
- Use automated systems to extract data at an unreasonable scale.
6. User Content
“User Content” includes prompts, text, documents, files, images, datasets, instructions, messages, profile information, and other material submitted through the Services.
6.1 Your Ownership
As between you and Illumen ScholarMind, you retain ownership of your original User Content.
6.2 Permission to Process Your Content
You grant us a limited, worldwide, non-exclusive licence to host, store, copy, transmit, convert, extract, display, and otherwise process User Content only as reasonably necessary to:
- Provide requested features;
- Generate outputs;
- Save projects and history;
- Secure and maintain the Services;
- Prevent fraud and misuse;
- Provide support;
- Comply with legal obligations.
This licence ends when the content is deleted, except for temporary backup copies, legally required records, content already shared publicly, or information needed to resolve a dispute.
6.3 Your Responsibilities
You represent that:
- You own the User Content or have permission to use it;
- Processing it through Illumen ScholarMind does not violate another person’s rights;
- It does not breach confidentiality, institutional, employment, or publication obligations;
- It is not unlawful;
- It does not contain malicious code.
Do not upload confidential research, unpublished manuscripts, examination materials, personal records, proprietary datasets, or third-party documents unless you are authorized to process them through an external AI service.
7. AI-Generated Outputs
The Services may generate text, scores, summaries, recommendations, analyses, citations, formulas, code, tables, diagrams, or other outputs.
7.1 Outputs May Be Inaccurate
Artificial-intelligence systems can produce:
- Incorrect facts;
- Fabricated citations;
- Outdated information;
- Biased or incomplete answers;
- Incorrect calculations;
- Misinterpreted files;
- Similar or identical outputs for different users.
You must independently review important outputs before relying on, submitting, publishing, or acting upon them.
7.2 No Professional Advice
Unless expressly stated in a separate written agreement, the Services do not provide professional:
- Legal advice;
- Medical advice;
- Financial or investment advice;
- Psychological diagnosis;
- Regulatory certification;
- Guaranteed academic supervision;
- Guaranteed career or recruitment decisions.
Consult a qualified professional where appropriate.
7.3 Academic Responsibility
Illumen ScholarMind is designed to support learning and responsible work, not to replace the user’s judgment or authorship.
You are responsible for:
- Following institutional academic-integrity rules;
- Identifying AI assistance where disclosure is required;
- Verifying sources and citations;
- Reviewing facts and calculations;
- Avoiding plagiarism;
- Obtaining permission before submitting collaborative or third-party work;
- Ensuring final submissions reflect your own understanding where required.
We do not guarantee that AI-assisted content will be accepted by a school, university, journal, publisher, employer, recruitment platform, funding body, or other organization.
7.4 No Guaranteed Results
We do not guarantee:
- Grades;
- Admissions;
- Publications;
- Citation counts;
- Research outcomes;
- Employment;
- Interviews;
- Resume scores;
- Applicant-tracking-system compatibility;
- Funding;
- Examination performance;
- Business or financial outcomes.
8. Acceptable Use
You must not use the Services to:
- Violate applicable law;
- Infringe intellectual-property, privacy, confidentiality, or contractual rights;
- Harass, threaten, exploit, or deceive another person;
- Generate or distribute malware;
- Steal credentials or gain unauthorized access;
- Circumvent security controls;
- Conduct fraudulent transactions;
- Misrepresent AI-generated content as verified evidence;
- Fabricate research data or falsify academic records;
- Create fake qualifications, certificates, publications, or employment histories;
- Impersonate a researcher, teacher, employer, institution, or other person;
- Submit another person’s personal information without authorization;
- Overload, disrupt, probe, scrape, or attack the Services;
- Create multiple accounts to evade usage limits or payment requirements;
- Resell access without written authorization;
- Use outputs in a manner that causes unlawful discrimination or other serious harm.
We may investigate suspected violations and restrict or terminate access where reasonably necessary.
9. Third-Party Services
The Services may rely on or link to third-party services, including:
- AI model providers;
- Cloud-hosting providers;
- Authentication services;
- Academic databases;
- Publishers and journals;
- Search providers;
- File-processing services;
- Analytics tools;
- Payment processors;
- Email and notification services.
Third-party services may be governed by separate terms and privacy policies.
We do not control independent third-party services and are not responsible for their availability, content, decisions, or conduct. However, this provision does not exclude any responsibility that cannot lawfully be excluded.
10. Plans, Subscriptions, Credits, and Usage
Illumen ScholarMind may offer:
- Free plans;
- Trial access;
- Recurring subscriptions;
- One-time packages;
- Usage credits;
- Promotional credits;
- Purchased credits;
- Institutional plans;
- Custom enterprise arrangements.
Features, usage limits, credit rules, storage limits, model access, and support levels may differ by plan.
10.1 Credits
Where the Services use credits, tokens, neurons, quotas, or similar usage units:
- Credits are not legal currency;
- Credits cannot ordinarily be transferred between unrelated accounts;
- Credits have no cash value except where required by law;
- Monthly or promotional credits may expire as disclosed at purchase;
- Separately purchased credits will follow the validity rules shown at purchase;
- Different actions may consume different amounts;
- Actual usage may depend on model, file size, processing time, storage, or external-tool costs.
We may reasonably update usage rates for future transactions. Any material change affecting an existing paid plan will be communicated as required.
10.2 Usage Measurement
Our records will be used to determine:
- Credit consumption;
- Storage;
- Model usage;
- Subscription status;
- Payment status;
- Applicable limits.
Contact support if you believe there is an error.
11. Prices and Taxes
Prices will be displayed before purchase.
Unless expressly stated otherwise:
- Prices are shown in the currency displayed during checkout;
- Applicable taxes, duties, levies, or payment charges may be added;
- You are responsible for charges imposed by your bank or payment provider;
- We may change prices for future purchases;
- A price change will not retroactively alter a completed one-time purchase.
For recurring subscriptions, we will provide notice of material price changes where required by law or the applicable subscription arrangement.
12. Payment Through SSLCOMMERZ
Online payments may be processed through SSLCOMMERZ and its participating banks, card networks, mobile financial services, and payment partners.
12.1 Payment Authorization
By submitting payment, you authorize the relevant payment provider to:
- Process the transaction;
- Perform verification;
- Conduct fraud and security checks;
- Share the transaction status with Illumen ScholarMind;
- Process an approved refund or reversal.
You must provide valid and authorized payment information.
12.2 Payment Information
Illumen ScholarMind generally receives transaction information such as:
- Transaction identifier;
- Order number;
- Amount;
- Currency;
- Payment status;
- Validation status;
- Payment method category;
- Masked payment information, where available.
Illumen ScholarMind does not ordinarily receive or store your complete card number, card security code, mobile financial service PIN, online banking password, or one-time password.
Never send this information to Illumen ScholarMind through chat, email, or a support form.
12.3 Failed or Pending Payments
A payment may fail or remain pending because of:
- Insufficient funds;
- Incorrect payment information;
- Bank or provider restrictions;
- Network interruption;
- Fraud screening;
- Session expiry;
- Delayed payment confirmation;
- Technical errors.
Access to the purchased service may remain pending until the transaction is successfully validated.
If money appears to have been deducted but your purchase is not activated, contact billing@scholarmind.app and provide the order number, transaction identifier, date, amount, and payment method. Do not provide your PIN, password, security code, or OTP.
12.4 Duplicate Payments
If a verified duplicate payment occurs for the same order, we may:
- Reverse the duplicate transaction;
- Refund the duplicate amount;
- Apply the amount as account credit, but only with your agreement.
Processing time depends on SSLCOMMERZ, the relevant bank, card network, or mobile financial service.
13. Subscription Renewal and Cancellation
13.1 Recurring Plans
Where automatic renewal is offered and selected:
- The subscription renews at the end of each billing period;
- The applicable payment method may be charged;
- Renewal continues until cancelled;
- The renewal price will be the price disclosed for the applicable period, subject to notified changes.
13.2 Cancelling a Subscription
You may cancel through account settings or by contacting billing@scholarmind.app.
Cancellation ordinarily:
- Prevents future renewal;
- Does not immediately remove access already paid for;
- Does not automatically create a refund for the current billing period;
- Does not preserve unused monthly credits beyond their stated validity period.
Cancellation requests should be submitted before the next renewal date.
14. Refund and Cancellation Policy
This section should be read with our separate Refund and Cancellation Policy, which forms part of these Terms.
14.1 Eligible Refund Situations
A refund may be considered where:
- A duplicate payment was confirmed;
- Payment succeeded but the purchased service was not provided because of an error attributable to Illumen ScholarMind;
- An incorrect amount was charged;
- A mandatory refund right applies under applicable law;
- We expressly approve the refund in writing.
14.2 Normally Non-Refundable Items
Except where required by law or caused by our verified error, the following are normally non-refundable:
- Used subscriptions;
- Consumed credits;
- Completed AI-generation or file-processing tasks;
- Purchased digital services already delivered;
- Promotional, bonus, or expired credits;
- Unused portions of a billing period after cancellation;
- User dissatisfaction based solely on the subjective quality of an AI output;
- Purchases made in violation of these Terms.
14.3 Refund Request Deadline
A refund request must ordinarily be submitted within 7 calendar days after the relevant transaction or discovery of the billing error.
The request should include:
- Account email;
- Order or invoice number;
- Transaction identifier;
- Payment date;
- Amount;
- Explanation of the issue;
- Relevant screenshots or evidence.
Never include a full card number, PIN, password, security code, or OTP.
14.4 Processing Time
After a refund is approved, we will normally initiate it within 7–10 working days.
The amount may take additional time to appear in your account depending on SSLCOMMERZ, your bank, card network, or mobile financial service provider.
Refunds will ordinarily be returned through the original payment method. Payment-gateway charges, bank charges, taxes, currency-conversion costs, or other non-recoverable charges may be excluded where permitted by law.
14.5 Chargebacks
Before initiating a chargeback, contact us at billing@scholarmind.app so we can investigate.
Fraudulent or abusive chargebacks may result in:
- Account restriction;
- Suspension of paid services;
- Reversal of credits;
- Recovery of reasonable costs where legally permitted.
Nothing in this section limits a lawful right to dispute an unauthorized transaction.
15. Promotions and Trials
Promotional plans, coupons, trial access, or bonus credits may have separate conditions.
Unless otherwise stated:
- They may be limited to one per user or organization;
- They may expire;
- They may not be transferred;
- They may not be redeemed for cash;
- They may be withdrawn where obtained through fraud or abuse;
- A payment method may be required before a trial starts if automatic conversion is clearly disclosed.
16. Intellectual Property
The Services—including software, interfaces, designs, trademarks, logos, databases, documentation, workflows, prompts created by us, and underlying technology—are owned by or licensed to Illumen ScholarMind and are protected by applicable intellectual-property laws.
Except for the limited licence granted under these Terms, no ownership right is transferred to you.
16.1 AI Outputs
Subject to applicable law, third-party rights, and these Terms, you may use outputs generated for you for lawful personal, educational, research, or commercial purposes.
However:
- We do not guarantee that an output is unique;
- Another user may receive a similar output;
- An output may contain material resembling third-party content;
- You are responsible for copyright, attribution, licensing, confidentiality, and publication review;
- Your rights in an output may be limited by applicable law or a third-party provider’s rules.
17. Feedback
If you provide feedback, feature suggestions, or improvement ideas, you grant us permission to use them without restriction or compensation, provided that we do not publicly identify you without permission.
This does not transfer ownership of confidential User Content.
18. Availability and Changes
We aim to provide a reliable service, but do not guarantee uninterrupted availability.
The Services may be unavailable because of:
- Maintenance;
- Security updates;
- Infrastructure failure;
- Internet or network interruption;
- Third-party outages;
- Payment-provider issues;
- Legal or regulatory requirements;
- Events outside our reasonable control.
We may modify, replace, or discontinue features. Where a material discontinuation significantly affects a prepaid service, we will provide a reasonable remedy as required by law.
19. Suspension and Termination
We may restrict, suspend, or terminate an account where reasonably necessary because:
- These Terms were materially violated;
- Payment remains unpaid;
- Fraud or abuse is suspected;
- The account creates a security risk;
- The account infringes another person’s rights;
- Continued service would violate applicable law;
- A government or court order requires action;
- The account has remained inactive for an extended period under a disclosed inactivity policy.
Where appropriate, we may provide notice and an opportunity to correct the issue. Immediate action may be taken for security threats, fraud, unlawful activity, or serious harm.
You may stop using the Services and request account closure at any time.
Termination does not eliminate payment obligations or provisions that are intended to survive, including ownership, disclaimers, liability, disputes, and recordkeeping.
20. Disclaimers
To the maximum extent permitted by law:
- The Services are provided on an “as available” basis;
- We do not guarantee that every output is accurate, complete, current, original, or suitable for a particular purpose;
- We do not guarantee continuous or error-free operation;
- We do not guarantee compatibility with every institution, publisher, recruitment platform, file format, or third-party system;
- You are responsible for reviewing and verifying outputs.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Illumen ScholarMind and its owner, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from use of the Services, including loss of profits, data, opportunity, reputation, research progress, grades, publication, or employment opportunity.
Where liability cannot be fully excluded, our aggregate liability arising from the Services will not exceed the amount you paid to Illumen ScholarMind during the six months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited, including liability resulting from fraud, wilful misconduct, or other non-excludable obligations.
22. Indemnification
To the extent permitted by law, you agree to compensate Illumen ScholarMind for reasonable losses, claims, and expenses resulting from:
- Your unlawful use of the Services;
- Your material breach of these Terms;
- User Content that infringes another person’s rights;
- Your unauthorized processing or disclosure of confidential or personal information;
- Fraudulent activity conducted through your account.
This section does not apply where the loss was caused by Illumen ScholarMind’s own unlawful conduct.
23. Consumer Rights
Nothing in these Terms removes any mandatory consumer right available under applicable law.
Where a provision conflicts with a mandatory legal right, the mandatory right will apply and the remaining provisions will continue to operate.
24. Governing Law
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles.
Before starting formal proceedings, you and Illumen ScholarMind agree to attempt in good faith to resolve the issue by contacting:

If the dispute is not resolved, it will be subject to the jurisdiction of the competent courts of Dhaka, Bangladesh, unless applicable law requires another forum.
25. Notices
We may provide notices through:
- The Services;
- The email address associated with your account;
- The website;
- Other reasonable electronic means.
You are responsible for keeping your email address current.

26. Changes to These Terms
We may update these Terms because of:
- New features;
- Operational changes;
- Changes in law;
- Security requirements;
- Payment or pricing changes;
- Changes in third-party services.
The revised version will show a new “Last Updated” date.
For material changes, we may provide additional notice. Continued use after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
27. General Provisions
27.1 Entire Agreement
These Terms, the Privacy Policy, Refund and Cancellation Policy, plan-specific conditions, and any applicable organizational agreement form the agreement between you and Illumen ScholarMind.
27.2 Severability
If a provision is held invalid or unenforceable, the remaining provisions will continue in effect.
27.3 No Waiver
Failure to enforce a provision is not a waiver of the right to enforce it later.
27.4 Assignment
You may not transfer these Terms without our written permission. We may transfer our rights and obligations as part of a merger, restructuring, financing, sale, or transfer of the business, subject to applicable law.
27.5 Force Majeure
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, war, civil disturbance, internet or power failure, labour disruption, government action, cyberattack, or failure of third-party infrastructure.
27.6 Headings
Section headings are included for convenience and do not change the meaning of these Terms.
